USER-GENERATED CONTENT TERMS OF USE

Trixx Rave Wear (“Trixx Rave Wear,” “we,” “us,” or “our”) may reach out to social-media users to request permission to feature their photos, videos, text, or other content (“User-Generated Content” or “UGC”) on our website, social-media channels, advertisements, or promotional materials. You are reading these Terms because Trixx Rave Wear has asked for your permission to use your UGC in this way.

If you choose to allow us to use your UGC, you agree to the following Terms of Use.

1. SCOPE OF USE

Trixx Rave Wear engages select service providers to collect, manage, and transmit UGC from social-media platforms or other digital media to our website (www.trixxravewear.com and related domains), social channels, and promotional materials (the “Trixx Rave Wear Services”).

2. LICENSE YOU GRANT US

By replying affirmatively to our request (for example, by responding “#YesTrixx” or similar), you grant Trixx Rave Wear and its affiliates, successors, licensees, and partners a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, transferable, and sublicensable license to:

  • Use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise exploit your UGC (in whole or in part) in any form, media, or technology, now known or later developed; and

  • Use your username, real name, likeness, image, voice, caption, location, or other identifying information in connection with such UGC.

This license allows us to use your UGC for any lawful purpose, including marketing, advertising, social-media content, email campaigns, product pages, print materials, and public relations.

You understand that you will not receive payment or further notice for any such use, and you waive any moral rights you may have in the UGC to the extent permitted by law.

3. YOUR REPRESENTATIONS AND WARRANTIES

By granting permission, you confirm that:

  • You are at least the age of majority in your province, state, or country of residence.

  • You own or control all rights to your UGC or have permission from all rights holders to grant this license.

  • Your UGC does not infringe the intellectual-property, privacy, or publicity rights of any person or entity.

  • Every identifiable individual in your UGC has given written consent to appear and be publicly displayed as described herein, which you will provide to us upon request.

  • Your UGC is not defamatory, obscene, harassing, hateful, or otherwise unlawful.

  • Your UGC does not contain any false or misleading statements and does not violate any law or regulation.

You agree to indemnify and hold Trixx Rave Wear, its officers, employees, affiliates, and agents harmless from any claims, damages, or expenses (including legal fees) arising out of or related to a breach of these warranties.

4. NO OBLIGATION TO USE

We are under no obligation to use your UGC and may remove it from our platforms at any time for any reason. We may edit, crop, or otherwise modify your UGC for formatting or presentation, provided that such changes do not materially distort its intended meaning.

5. PRIVACY AND DATA HANDLING

Your personal information (e.g., name, social-media handle, email address, or image) may be collected and processed in accordance with our Privacy Policy and applicable data-protection laws, including:

  • PIPEDA (Canada)

  • GDPR / UK GDPR (Europe & UK)

  • CCPA/CPRA (California, U.S.)

  • Privacy Act 1988 (Australia)

By granting permission, you consent to:

  • The collection, use, and disclosure of any personal information contained in your UGC for the purposes described above; and

  • The transfer of such information to servers or service providers located outside your home country (for example, in Canada, the U.S., or the EU).

If you do not agree, please do not authorize our use of your UGC.

6. OWNERSHIP AND INTELLECTUAL PROPERTY

You retain ownership of your UGC. Nothing in these Terms transfers ownership of your content to us; however, the license you grant allows us to use it as outlined above. All other website and brand content, trademarks, logos, and materials remain the exclusive property of Trixx Rave Wear.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Trixx Rave Wear will not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to our use of your UGC.

8. GOVERNING LAW

If you reside in Canada or the U.S., these Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles.
If you reside in the EU, UK, or Australia, these Terms are governed by the laws of your country of residence, and you retain any mandatory consumer rights under local law.
